By accessing or using the EQS platform (the "Service"), you confirm that you are at least 18 years old, have read and understood these Terms and Conditions ("Terms"), and agree to be bound by them. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, in which case "you" refers to that organisation. If you do not agree with any part of these Terms, you must not access or use the Service.

EQS is a unified equine intelligence platform providing horse performance data, pedigree analysis, sales intelligence, race placement tools, and related analytics to equine industry professionals including trainers, owners, jockeys, breeders, and bloodstock agents. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice where practicable.

To access most features of the Service you must register for an account. You agree to: • Provide accurate, current, and complete information during registration. • Keep your login credentials confidential and not share them with any third party. • Notify us immediately at support@eqs-equinedatasolutions.com if you suspect unauthorised access to your account. • Accept responsibility for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

EQS offers both free and paid subscription tiers. By selecting a paid plan you authorise us to charge your payment method on a recurring basis at the rates displayed at the time of purchase. • Subscription fees are billed in advance on a monthly or annual cycle. • All fees are exclusive of applicable taxes, which you are responsible for paying. • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period with no partial refunds. • We reserve the right to modify pricing with 30 days' advance notice. Continued use of the Service after the notice period constitutes acceptance of the new pricing. • Bespoke enterprise plans are subject to separate written agreements.

You agree not to use the Service to: • Violate any applicable local, national, or international law or regulation. • Reproduce, redistribute, sell, or sublicense any data or content obtained from the Service without our prior written consent. • Scrape, crawl, or systematically extract data from the platform by automated means. • Introduce malware, viruses, or any harmful code. • Attempt to gain unauthorised access to any part of the Service, its servers, or related systems. • Harass, defame, or harm any other user or third party. • Use the Service for any purpose that competes directly with EQS without our express written approval. Violation of this section may result in immediate account termination and potential legal action.

All content, software, data compilations, trade marks, logos, and materials made available through the Service are the exclusive property of Equine Data Solutions Ltd or its licensors and are protected by copyright, database rights, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal business purposes in accordance with these Terms. No other rights are granted. Any feedback, suggestions, or ideas you submit to us may be used by EQS without restriction or compensation to you.

EQS aggregates equine data from multiple third-party sources. While we make reasonable efforts to ensure accuracy, we do not warrant that any data, analysis, or insight provided through the Service is complete, accurate, or up to date at all times. The Service is provided for informational purposes only. Nothing on the platform constitutes professional veterinary, financial, or legal advice. You should conduct your own due diligence before making any purchasing, racing, or breeding decisions.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to the collection, processing, and use of your personal data as described in our Privacy Policy. We comply with applicable data protection legislation including the UK GDPR and the Data Protection Act 2018. The Service may contain links to third-party websites, tools, or services. These are provided for convenience only. EQS does not endorse, control, or accept responsibility for the content, privacy practices, or terms of any third-party service. Your interactions with third-party services are solely between you and that third party.

To the maximum extent permitted by applicable law, Equine Data Solutions Ltd and its directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or exemplary damages — including but not limited to loss of profits, data, or goodwill — arising out of or in connection with your use of the Service, even if advised of the possibility of such damages. Our total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to EQS in the twelve months preceding the claim, or (b) £100. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

You agree to indemnify, defend, and hold harmless Equine Data Solutions Ltd, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or if we are required to do so by law. Upon termination your licence to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, limitation of liability, and dispute resolution clauses — shall survive.

We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page and, where the changes are material, notify you by email or in-app notice at least 14 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. • Entire Agreement: These Terms, together with our Privacy Policy and any separate subscription or enterprise agreement, constitute the entire agreement between you and EQS regarding the Service. • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. • Waiver: Failure by EQS to enforce any right under these Terms does not constitute a waiver of that right. • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction. • No Partnership: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and EQS.
